Notice is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 26th day of May 1987, presented to the said Court by THE REGISTRAR OF COMPANIES FOR NEW ZEALAND; and that the said petition is directed to be heard before the Court sitting at Auckland on the 15th day of July 1987 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

This notice was filed by David Stewart Morris, crown solicitor of Auckland, solicitor for the petitioner. This petitioner’s address for service is at the office of Messrs Meredith Connell and Co., Sixth Floor, General Buildings, corner Shortland and O’Connell Streets, Auckland 1.

NOTE—Any person who intends to appear on the hearing of the said petition must serve on, or send by post to, the above-named petitioner’s solicitor, notice in writing of his intention to do so. The notice must state the name, address, and description of the person, or if a firm, the name, address, and description of the firm, and an address for service within 5 kilometres of the office of the High Court at Auckland, and must be signed by the person or firm, or by his or their solicitor (if any), and must be served, or if posted, must be sent by post in sufficient time to reach the above-named petitioner’s address for service not later than 4 o’clock in the afternoon of the 14th day of July 1987.

In THE MATTER of section 205 of the Companies Act 1955, and IN THE MATTER of CERAMCO LIMITED, a duly incorporated company having its registered office at Ceramco House, 3 Totara Avenue, New Lynn, Auckland 7:

Notice is hereby given that the order of the High Court of New Zealand, dated the 10th day of June 1987, confirming the reduction of capital of the above-named company from the sum of $75,000,000.00 to the sum of $51,110,355 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, were registered by the District Registrar of Companies at Auckland on the 25th day of June 1987. The said minute is in the words and figures following:

“The capital of Ceramco Limited was, by virtue of a special resolution of the company and with the sanction of an order of the High Court dated the 10th day of June 1987, reduced from the sum of $75,000,000.00 divided into 75,000,000 ordinary shares of $1.00 each, to the sum of $51,110,355 divided into 51,110,355 ordinary shares of $1.00 each.”

On registration of this minute, the said reduction of capital shall take effect but, by virtue of an ordinary resolution of the company passed on the same day as the special resolution referred to herein, the capital of the company shall be increased immediately following the registration of the said reduction by the same amount as the reduction, thus increasing the capital of the company back to $75,000,000.00 divided into 75,000,000 ordinary shares of $1.00 each.”

Notice is hereby given that the order of the High Court of New Zealand, dated the 10th day of June 1987, confirming the reduction of capital of the above-named company from the sum of $15,000,000.00 to the sum of $9,697,300 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, were registered by the District Registrar of Companies at Auckland on the 25th day of June 1987. The said minute is in the words and figures following:

“The capital of Bendon Industries Limited was, by virtue of a special resolution of the company and with the sanction of an order of the High Court dated the 10th day of June 1987, reduced from the sum of $15,000,000.00 divided into 60,000,000 ordinary shares of 25 cents each, to the sum of $9,697,300 divided into 38,789,200 ordinary shares of 25 cents each.”

On registration of this minute, the said reduction of capital shall take effect but, by virtue of an ordinary resolution of the company passed on the same day as the special resolution referred to herein, the capital of the company shall be increased immediately following the registration of the said reduction by the same amount as the reduction, thus increasing the capital of the company back to $15,000,000.00 divided into 60,000,000 ordinary shares of 25 cents each.”
