1. The style of the firm under which the partnership is to be conducted is OAKWOOD MANOR LIMITED AND COMPANY.

2. The name and place of the residence of the general partner is OAKWOOD MANOR LIMITED whose registered office is at the offices of Horner, Greenless & Associates, Aspen House, corner McLean & Willow Streets, Tauranga.

3. The names and places of residence of the special partners are as set out in the Schedule hereto.

4. The amount of capital agreed to be contributed by each special partner to the common stock is set out opposite his name in the Schedule hereto.
