NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 22nd day of April 1986, presented to the said Court by SHELL OIL NEW ZEALAND LIMITED, a duly incorporated company having its registered office at “Shell House”, The Terrace, Wellington and carrying on business as marketers of petroleum products; and that the said petition is directed to be heard before the Court sitting at Blenheim on Monday, the 14th day of July 1986 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

IN THE MATTER OF PART II OF THE PARTNERSHIP ACT 1908, AND IN THE MATTER OF GILBERT PRODUCTIONS LIMITED AND COMPANY:

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the special partnership is GILBERT PRODUCTIONS LIMITED AND COMPANY.

  2. The names, addresses, occupations and capital contributions of the general and special partners are as set forth in the Schedule hereto.

  3. The business of the partnership will be as follows:

(a) To establish and carry on in New Zealand and elsewhere the business of producing, promoting, presenting, managing, conducting, directing, representing, writing and participating in musical and theatrical productions, plays, drama, balletic works, operas, burlesques, pantomimes, reviews, concerts, shows, exhibitions, variety, live performances and other entertainments and to undertake and carry out any other business which may in the opinion of the general partner and the participants be conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature.

(b) To purchase, lease, take on hire or by any other means acquire any real or personal property and any rights, licences, privileges, expertise, patents, copyrights, trade-marks, concessions or easements which the partnership may think necessary or convenient for the purposes of its business.

(c) To manage, maintain, develop, use, turn to account, provide, exchange, mortgage, lease, licence, sell or otherwise deal with or dispose of all or any part of the property and rights of the partnership.

  1. The principal place at which the partnership will be conducted is the registered office for the time being of GILBERT PRODUCTIONS LIMITED which at the date of registration of the certificate is 114 Princes Street, Dunedin.

  2. The partnership shall commence upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of 7 years from the date of registration of this certificate.

AUCKLAND REGIONAL AUTHORITY
AMENDMENT TO DECLARATION OF ROADS OR STREETS AND OTHER LANDS REQUIRED FOR THE PURPOSES OF REGIONAL ROAD IN THE BOROUGH OF MOUNT WELLINGTON

NOTICE is hereby given that in pursuance of the powers vested in it by section 363 of the Local Government Act 1974 and every other power enabling it in that behalf the Auckland Regional Authority resolves (by way of amendment to its resolution made under the said section 363 on 17 May 1982) as follows:

  1. That the authority is of the opinion that the parts of roads or streets and other lands shown hatched on drawing No. 712216-05—
    (i) form part or will form part of a system of arterial and regional traffic routes (including motorways or State highways) providing for through traffic movement and interconnecting or providing access to or discharge from important areas of traffic generation in the region; and
    (ii) are or will be of material advantage to the region as a whole or a substantial part thereof.

  2. That the parts of roads or streets, whether actually constructed or not, described in the First Schedule hereto, and the other lands described in the Second Schedule hereto, are hereby declared to be or to be required for the purposes of a regional road within the meaning and for the purposes of the said Act, the prior written consent of the National Roads Board under section 363 of the said Act having been obtained and following prior consultation with the constituent authority for the constituent district within which the said roads or streets and other lands or any part thereof are situated.

FIRST SCHEDULE

ALL those parts of roads or streets situated in Mount Wellington Borough in the North Auckland Registration District shown hatched on the Authority’s Drawing No. 712216-05. The said parts of roads or streets are shown in detail on the said plan, but a general description is as follows:

Parts of Carbine Road being approximately 100 metres in length extending south from a point 80 metres south of the southern boundary of Lot 4, D.P. 45228, certificate of title 1851/97, together with part of the intersection with Bowden Road.

SECOND SCHEDULE

ALL those portions of land situated in Mount Wellington Borough in the North Auckland Registration District shown hatched on the Authority’s Drawing No. 712216-05. The lands affected are shown in detail on the said plan, but a general description is as follows:
