SIMEON PRODUCTS LTD.
NOTICE OF ORDER TO STAY THE WINDING UP OF A COMPANY
AN order to stay the winding up of Simeon Products Ltd., care of
Messrs Orr and Duggan, The Strand, Whakatane, was made by the
High Court at Rotorua on 13 February 1986.

This order is effective until a new hearing date for the petition
is made, this date being 27 March 1986, at the High Court, Rotorua.
This order was given subject to the following provisions.

(a) That Brian Norman Dean of Wellington, company director,
do personally undertake to the Court to meet the wages of
all persons currently employed by Simeon Products Ltd.
from his own funds.

(b) That Brian Norman Dean of Wellington, company director,
do personally undertake to the Court to meet the rent and
other outgoings in relation to the premises currently
occupied by Simeon Products Ltd. from his own funds.

(c) That Brian Norman Dean of Wellington, company director,
do personally undertake to the Court that the assets of
Simeon Products Ltd. not be decreased during the time of
the stay and that the liabilities of Simeon Products Ltd.
not be increased during the time of the stay.

(d) That payment of the debt to the Department of Customs be
made by 27 March 1986.

(e) That Brian Norman Dean of Wellington, company director,
do personally undertake to the Court that he will produce
evidence at the hearing of this petition on 27 March 1986
as to arrangements made with all other unsecured creditors
of Simeon Products Ltd. as to payment of their debts.

(f) That Brian Norman Dean of Wellington, company director,
do personally undertake to the Court to pay the sum of
$2,000 to the Official Assignee in any event on or before
27 March 1986 as costs.

(g) That the petition herein be adjourned for hearing at 10 a.m.
on 27 March 1986.
