It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The Name of the Partnership is—LORD BALLINA BREEDING LIMITED AND COMPANY.

  2. The Names, Places of Residence, Occupations and Capital Contributions of the General and Special Partners are set out in the Schedule hereto.

  3. Partnership Business—The ownership of interests in thoroughbred stallions.

  4. Principal Place of Business—The principal place at which business will be transacted is: 95 Manukau Road, Epsom, Auckland.

  5. Duration of Partnership—The partnership shall commence upon registration of the certificate in accordance with section 54 of the Partnership Act 1908 and shall terminate on registration of the certificate pursuant to section 62 of the said Act or upon the expiration of 5 years from the date of registration of the certificate whichever is the sooner.

  1. Partnership Business—To establish and carry on in New Zealand and elsewhere the business of breeding angora goats and to undertake or carry on any other activity or business.

  2. Principal Place of Business—The principal place from which the partnership business will be conducted is the registered office of the General Partner situated at Eleventh Floor, Downtown House, Queen Street, Auckland.

  3. Term of the Partnership—The term of the partnership shall commence on the date of registration of this certificate in accordance with section 54 of the Act and shall end upon the sooner to occur of:

(a) The registration of a certificate of dissolution pursuant to section 62 of the Act; or

(b) The expiration of 7 years from the date of registration of this certificate or, if the term of the partnership shall have been extended in accordance with sections 57 and 58 of the Act, then the expiration of the extended term.

NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 5th day of February 1986, presented to the said Court by SONNY ELEGANT KNITWEAR LIMITED, a duly incorporated company having its registered office at 18 High Street, Auckland 1; and that the said petition is directed to be heard before the Court sitting at Blenheim on the 10th day of March 1986 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose, and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
