That pursuant to section 246 (1) of the Companies Act 1955 the liquidators of the company be released from administration of the company’s assets.

That pursuant to section 267 of the Companies Act 1955 the company be dissolved from the date of order of this Honourable Court.

That pursuant to rule 173 (5) of the Companies (Winding-Up) Rules 1956 the company records be destroyed provided that the liquidators’ records be retained.

That the costs of the liquidators in making this application and the costs of the Audit Department (should there by any) be costs in the liquidation and be charged against the assets of the company.

The principal place at which the business of the partnership will be conducted is the registered office for the time being of MUSICAL PRODUCTIONS LIMITED, which at the date of registration of the original certificate of special partnership was Aetna House, Second Floor, 57–59 Symonds Street, Auckland and which at the date of registration of this certificate is the Third Floor, Pacific Maritime House, 80–82 Anzac Avenue, Auckland.

The partnership commenced upon registration of the original certificate of special partnership pursuant to section 54 of the Partnership Act 1908 on 10 May 1985 and continues in business and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of 7 years from the date of registration of the original certificate of special partnership.
