In the matter of the Companies Act 1955, and in the matter of NELSON PACKHOUSE CO-OPERATIVE LIMITED, a duly incorporated company having its registered office at Nelson:

ADVERTISEMENT OF PETITION

Notice is hereby given that a petition first presented to the High Court at Nelson on the 14th day of October 1986 by G. C. HOFLAND LIMITED the value thereof and secondly for an order that NELSON PACKHOUSE CO-OPERATIVE LIMITED be required to purchase forthwith from MILES MORROW MIDDLETON and PEGGY MIDDLETON any shares in NELSON PACKHOUSE CO-OPERATIVE LIMITED or otherwise increase their investment therein and thirdly for an order reinstating NELSON PACKHOUSE CO-OPERATIVE LIMITED from authorising any compulsory surrender of any of its shares held in the name of WILLIAM JOHN EDMUND LYNCH and forthwith for such other order as may in the premises be just and fit.

And take notice that the costs of and incidental to the petition are to be fixed and paid by NELSON PACKHOUSE CO-OPERATIVE LIMITED, and in the alternative for the winding up of the above-named company by the High Court was, on the 14th day of October 1986, presented to the said Court by G. C. HOFLAND LIMITED, a duly incorporated company having its registered office at Motueka (as first petitioner); and MILES MORROW MIDDLETON of Redwoods Valley, near Richmond, fruitgrower and PEGGY MIDDLETON, his wife (as second petitioners) and WILLIAM JOHN EDMUND LYNCH of Redwoods Valley, near Richmond, fruitgrower (as third petitioner); and that the said petition is directed to be heard before the Court sitting at Nelson on the 3rd day of November 1986 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

Note—Any person who intends to appear on the hearing of the said petition must serve on, or send by post to, the above-named petitioner, notice in writing of his intention to do so. The notice must state the name, address, and description of the person, or if a firm, the name, address, and description of the firm, and an address for service within 5 kilometres of the office of the High Court at Nelson, and must be signed by the person, or firm, or by their solicitor (if any), and must be served, or, if posted, must be sent by post in sufficient time to reach the above-named petitioner’s address for service not later than 4 o’clock in the afternoon of the 31st day of October 1986.

In the matter of Part II of the Partnership Act 1908, and in the matter of a special partnership known as The Te Puke Kiwi Fruit Syndicate—Kiwi Fruit Holdings Limited and Company (formerly called Te Puke Kiwi Syndicate—Sheffield Enterprises Limited and Company):

DISSOLUTION OF PARTNERSHIP

We the persons named and described in the Schedule hereto and Kiwi Fruit Holdings Limited, a duly incorporated company having its registered office at Auckland (called “the partners”) do hereby certify that by registration of this certificate we do hereby dissolve the special partnership under the provisions of Part II of the Partnership Act 1908; and do hereby certify pursuant to the provisions of section 62 of this Act as follows:

(a) The special partnership is hereby dissolved as from the 30th day of September 1986.

(b) All debts and liabilities of the special partnership due and payable at the 30th day of September 1986 or becoming due and payable after that date by reason of partnership activities carried on before that date shall be met from the realisation of the special partnership assets and from the common stock of the special partnership. The residue of the assets, if any, shall be apportioned between the partners according to the amount contributed to the common stock of the special partnership by each partner.

(c) The costs of preparation, registration and publication of this certificate shall be paid equally by the partners.

Dated at Auckland this 30th day of September 1986.
