(2) That resolution 4 passed at the extraordinary general meeting may not be varied without the prior approval of the meeting of the Court.
(3) That the following minute showing the amount of capital of the company was approved:
"The authorised or nominal share capital of Westbridge Holdings Limited is $5,000,000 divided into:
(i) 1,380,652 fully paid ordinary shares of 40 cents each and
(ii) 250,000 fully paid convertible specified preference shares of 40 cents each and
(iii) 10,869,348 unclassified shares of 40 cents each."
The issued and paid up share capital of Westbridge Holdings Limited is $652,260.80 divided into:
(i) 1,380,652 fully paid ordinary shares of 40 cents each and
(ii) 250,000 fully paid convertible specified preference shares of 40 cents each.
As a result of the reduction of capital authorised by special resolutions of the company passed at the extraordinary general meeting of the company held on 18 September 1986 and confirmed by the High Court such authorised or nominal share capital of the company has been reduced from $5,000,000 to $4,673,869.60 by the reduction of capital of 20 cents in respect of each of the 1,380,652 fully paid ordinary shares of 40 cents each and the 250,000 fully paid convertible specified preference shares of 40 cents each.
As a result of the said reduction of capital the issued and paid up share capital has been reduced from $652,260.80 divided into 1,380,652 fully paid ordinary shares of 40 cents each and 250,000 fully paid convertible specified preference shares of 40 cents to $326,130.40 divided into 1,380,652 fully paid ordinary shares of 20 cents each and 250,000 fully paid convertible specified preference shares of 20 cents each."
(4) That notice of the registration of the order so to be made and the said minute be published once in the New Zealand Gazette.
