THE COMPANIES ACT 1955

In order to simplify the structure of the Griffiths Group of
Companies on 25 September 1986 it was resolved by special
resolution pursuant to section 268 (1) (b) and in accordance with
section 362 of the Companies Act 1955 that MINTO
INVESTMENTS LTD. be wound up voluntarily and that Daniel
Martin Virtue, chartered accountant of Auckland, be appointed for
the purpose of winding up the affairs of the company and distributing
the assets.
