RESOLUTION OF CHANGE TO MEMORANDUM OF ASSOCIATION OF COMPANY
Pursuant to Section 18 of the Companies Act 1955
NOTICE is hereby given of an extraordinary general meeting of the company to be held at the offices of the company at 218 George Street, Dunedin on the 9th day of October 1986, for the purpose of considering and if thought fit passing the following special resolution as an entry in the minute book of the company as provided by section 362 of the Companies Act 1955:
“It is hereby resolved as a special resolution that the provisions of the memorandum of association with respect to the objects of the company as contained in clause III therein be deleted and that in lieu thereof the following clause be inserted, namely:
‘III. That subject to the provisions of the Companies Act 1955 and without any restrictions or prohibition the company shall have the rights, powers and privileges set forth in section 15A (1) of the said Act.’”
