(b) to undertake and carry on any other activity or business which may in the opinion of the company and participants be conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature to that above mentioned.

The principal place at which the business of the partnership shall be conducted shall be the registered office for the time being of BRANCA DEVELOPMENTS LIMITED, which at the date of registration of the certificate is Eighteenth Floor, Quay Tower, 29 Customs Street West, Auckland.

The partnership shall commence upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the sooner to occur of:
(i) The registration of a certificate of dissolution pursuant to section 62 of the Partnership Act 1908; or
(ii) The expiration of the period of 7 years from the date of registration of the partnership as a special partnership provided however that if the partnership shall have been renewed pursuant to sections 57 and 58 of the Partnership Act 1908 for a further term by the written agreement of the company and all of the participants then upon the expiration of such further term.
