In the matter of the Companies Act 1955, and in the matter of MAYPOLE HOLDINGS LTD.
Notice is hereby given that by a duly signed entry in the minute book of the above-named company on 20 July 1986, the following special resolution was passed by the company, namely:
That as the business of the company is no longer required by the shareholders, that the directors be asked to file a declaration of solvency pursuant to section 274 of the Companies Act 1955 and that the company be wound up voluntarily.

NOTICE OF APPOINTMENT OF RECEIVER
Pursuant to Section 346 (1) of the Companies Act 1955
The National Bank of New Zealand, with reference to Morrinsville Mowers and Chainsaws Ltd., hereby gives notice that on the 24th day of July 1986 the bank appointed John Harold Gaukrodger, David Phillip Gondall, Chartered Accountants, Peat Marwick Mitchell and Co., National Mutual Building, Victoria Street, Hamilton, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 20th day of December 1979.
The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

Notice is hereby given in pursuance of section 291 of the Companies Act 1955, that a meeting of the above-named company will be held at the offices of Jones, Crawford, Syers & Hamilton, Chartered Accountants, Mansfield House, 127 Bank Street, Whangarei, on Wednesday, the 20th day of August 1986 at 9.30 o’clock in the morning for the purposes of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

To consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:
That the liquidator be directed to supervise the disposal of the books and papers of the company after a period of 2 years from the date of this meeting.

Notice is hereby given, pursuant to section 281 of the Companies Act 1955, that general meetings of each of the above-named companies will be held at the office of Carter Holt Central Ltd., Station Street, Napier, on the 26th day of August 1986, at 9 o’clock in the forenoon, for the purposes of having accounts laid before them showing how the winding up of each company has been conducted and the property of each company has been disposed of, and for receiving any explanations thereof by the liquidator.

To consider, and if thought fit, to pass in respect of each company pursuant to section 328 (1) (b) of the Companies Act 1955 the following resolution as an extraordinary resolution, namely:
That the books of account and records of the company and those of the liquidator be placed in the hands of Carter Holt Central Ltd., to be retained in safe custody in accordance with the Companies Act 1955, as that company shall think fit.
Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. The proxy need not also be a member.
