NOTICE is hereby given that the order of the High Court of New Zealand dated the 16th day of December 1985, confirming the reduction of capital of the above-named company from $960,000.00 to $660,000.00 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above mentioned Act, was registered by the Registrar of Companies on the 20th day of December 1985. The said minute is in the words and figures following:

“The capital of J. Scott and Company Limited is $660,000.00 divided into 660 000 fully paid shares of $1.00 each having been reduced from $960,000.00 divided into 960 000 shares of $1.00 each fully paid”.

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the special partnership is RUVAIN HOLDINGS LIMITED AND COMPANY.

  2. The names, addresses, occupations and capital contributions of the general and special partners are as set forth in the Schedule hereto.

  3. The business of the partnership will be as follows:

(c) To manage, maintain, develop, use, turn to account, provide, exchange, mortgage, lease, licence, sell or otherwise deal with or dispose of all or any part of the property and rights of the partnership.

  1. The principal place at which the business of the partnership will be conducted is the registered office for the time being of RUVAIN HOLDINGS LIMITED, which at the date of registration of this certificate is 119 Taranaki Street, Wellington.

  2. The partnership shall commence upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of 7 years from the date of registration of this certificate.
