NOTICE is hereby given that the order of the High Court of New
Zealand dated Monday, the 18th day of March 1985 confirming the
reduction of capital of the above-named company from $60,000 to
$5,000 and the minute approved by the Court showing, with respect
to the capital of the company as altered, the several particulars
required by the above-mentioned Act, was registered by the Registrar
of Companies on the 18th day of April 1985. The said minute is
in the words and figures following:

The capital of A. S. Andrewes & Sons Limited is $5,000 divided
into 2 500 ordinary shares of $2 each having been reduced
from a capital of $60,000 divided into 30 000 ordinary shares
of $2 each.
