To: The High Court of New Zealand on the 20th day of December 1984.

The humble petition of N.Z.I. Finance Ltd., a duly incorporated company having its registered office at Napier, financiers, showeth as follows:

  1. BAYMAC MACHINERY (1981) LIMITED, a duly incorporated company having its registered office at Taradale Road, Napier and carrying on business there as machinery contractors (hereinafter called “the company”) was, on the 2nd day of October 1972, incorporated under the Companies Act 1955, under the name of Nattrass and Company Limited.

  2. The company’s name was changed to BAYMAC MACHINERY (1981) LIMITED on the 24th day of August 1981 pursuant to a resolution of the company.

  3. The registered office of the company is at Taradale Road, Napier.

  4. The nominal capital of the company is forty-five thousand dollars ($45,000) divided into forty-five thousand shares of one dollar ($1) each. The amount of the capital paid up or credited as paid up is $45,000.

  5. The objects for which the company was established are as follows:

To: require, utilise and dispose of land in estates, and interest in land, agricultural, mechanical, forestry, industrial, commercial, office, trade, domestic and other equipment, plant, goods, stock in trade, assets, utensils and things of all kinds whatsoever and other objects set forth in the memorandum of association thereof.

  1. On 30 January 1982, 17 September 1982 and 14 September 1982, the company entered into hire purchase credit facilities with N.Z.I. Finance Limited. Default has been made in the repayment of the principal and interest due under the aforementioned facilities, the total outstanding and currently owing to the petitioner being one hundred and sixty-six thousand two hundred and eighty-three dollars and eight cents ($166,283.08).

  2. The petitioner has made application to the company for payment of its debt but the company has failed and neglected to pay the same or any part thereof. On the 27th day of April 1984 the petitioner served upon the company at its registered office a notice under seal of the petitioner giving notice that unless the said amount of $166,283.08 was paid within 3 weeks of the date of service of the notice the petitioner would petition the High Court at Napier for an order that the company be wound up.

Your petitioner therefore humbly prays as follows:

(a) That BAYMAC MACHINERY (1981) LIMITED be would up by the Court under the provisions of the Companies Act 1955.

(b) Or that such other order may be made in the premises as shall be just.
