NOTICE CALLING FINAL MEETINGS

Notice is hereby given, pursuant to section 281 of the Companies Act 1955, that general meetings of each of the above-named companies will be held at the office of Carter Holt Central Ltd., Station Street, Napier, on the 9th day of April 1985, at 9 o’clock in the forenoon, for the purposes of having accounts laid before them showing how the winding up of each company has been conducted and the property of each company has been disposed of, and for receiving any explanations thereof by the liquidator.

Further Business:

To consider and, if thought fit, to pass in respect of each company pursuant to section 328 (1) (b) of the Companies Act 1955 the following resolution as an extraordinary resolution, namely:

That the books of account and records of the company and those of the liquidator be placed in the hands of Carter Holt Central Ltd., to be retained in safe custody in accordance with the Companies Act 1955, as that company shall think fit.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. The proxy need not also be a member.

1. Tax incentive credit $148,158. The tax return for the year ending 31 October 1983 to which this claim relates has been lodged with the department. Confirmation of the amount of the refund has not yet been received.

2. No value has been ascribed to an advance of $2,010,776 to White Glove Services (N.Z.) Ltd. which is in receivership and in liquidation.

3. The amount secured under the floating charge to General Finance Acceptance Ltd., includes interest accrued to date.

The assets of White Glove Services (N.Z.) Ltd. and South Pacific Rent A Car Ltd. (both of whom are in receivership and in liquidation) are also secured by way of guarantee debenture and any recovery by General Finance Acceptance Ltd. from those two companies would effect a reduction in the amount due by Dominion Budget Rent A Car Ltd.

Rattray & Son Ltd., a duly incorporated company, having its registered office at Christchurch, hereby gives notice that on the 11th day of March 1985 it appointed Norman Edward Wiseman, company accountant, Dunedin as receiver and manager of the property of Jardines Central Stores Ltd. under the powers contained in a debenture dated the 22nd day of April 1982 which property consists of all the undertaking, goodwill and assets relating to the operation of the business carried on by the said Jardines Central Stores Ltd. (in receivership).
