DONALDSON’S (NGAHERE) LTD.
NOTICE OF GENERAL MEETING

NOTICE is hereby given of a general meeting of Donaldson’s (Ngahere) Ltd., to be held at the registered office of the company in Greymouth on the 25th day of March 1985 at 2 p.m., at which it is intended to propose the following as a special resolution of the company for the alteration of the provisions of the memorandum of association of the company, pursuant to the provisions of section 18(1) of the Companies Act 1955:

That the memorandum of association of the company be and the same is hereby altered and amended by deleting clause III of the existing memorandum of association and substituting the following therefor:

“III. The company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1)(a) to (h) of section 15A(1) of the Companies Act 1955).”

NOTICE of extraordinary general meeting to pass a special resolution for alteration of memorandum of association. Notice is hereby given that an extraordinary general meeting of Tramsar Ltd. will be held at 29 Harris Street, Wellington on the 12th day of March 1985 at 10 a.m. for the purpose of considering the following resolution to be proposed as a special resolution.

Resolution:

“Resolved that the memorandum of association of the company be altered by deleting the objects of the company specified in clause 2 thereof and adopting instead the following provision as clause 2:

‘2. The company shall have the rights, powers and privileges of a natural person including, but not by way of limitation, the powers listed in paragraphs (a)-(h) inclusive of section 15A(1) of the Companies Act 1955.’”
