NOTICE OF ALTERATION TO MEMORANDUM OF ASSOCIATION OF COMPANY

Pursuant to Section 18

To: The Registrar of Companies, Wellington.

SOUTHLAND FINANCIAL ENTERPRISES LTD., hereby gives you notice pursuant to section 18 of the Companies Act 1955 by special resolution of the company, duly passed by shareholders therein by means of entry in the minute book of the company made on the 11th day of February 1985, the company’s memorandum of association has been altered by the omission of the object specified in the memorandum.

The following resolution was passed:

1. That the company’s memorandum of association be altered by the omission of certain provisions in accordance with the requirements as set out in section 18 of the Companies Act 1955.

2. That clause 3 of the memorandum of association of Southland Financial Enterprises Ltd., shall hereafter be omitted with the effect that there shall be no limitation or restriction placed upon the aforesaid company’s objects.

In the matter of the Companies Act 1955, and in the matter of PETONE COMMERCIALS LTD. (in voluntary liquidation):

Notice is hereby given that the undersigned, the liquidator of Petone Commercials Ltd. (in voluntary liquidation), does hereby fix the 11th day of May 1985 as the day on or before which the creditors of the company are to prove their debts or claims.

In the matter of the Companies Act 1955, and in the matter of WAYNE & MIRANDA LTD.:

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 5th day of February 1985, the following special resolutions were passed by the company, namely:

1. That by means of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

2. That Warwick Sumpter of Auckland, chartered accountant, be and is hereby appointed liquidator.

The liquidator hereby fixes the 1st day of March 1985 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or as the case may be, from objecting to the distribution.

Notice is hereby given by an entry in its minute book, signed in accordance with section 362 (1) of the Companies Act 1955, this company will voluntarily wind up, and that a meeting of the creditors of the company will accordingly be held at La Reine Caterers Boardroom, 4 Walton Street, Whangarei on Monday, the 18th day of February 1985 at 12 noon.

Business:

1. To consider a statement of the position of the company’s affairs and list of creditors.

2. To nominate a liquidator and fix the basis of his remuneration.

3. To appoint, if thought fit, a committee of inspection.
