Pursuant to Section 335A of the Companies Act 1955
NOTICE is hereby given that in accordance with the provisions of section 335A of the Companies Act 1955, I propose to apply to the Registrar of Companies at Hamilton for a declaration of dissolution of the company.
Unless written objection is made to the Registrar within 30 days of this notice, the Registrar may dissolve the company.

NOTICE OF EXTRAORDINARY GENERAL MEETING FOR PASSING SPECIAL RESOLUTION ALTERING MEMORANDUM OF ASSOCIATION
NOTICE is hereby given that an extraordinary general meeting of Tudor Investments Ltd. will be held at the offices of Coopers & Lybrand, CML Centre, 157–165 Queen Street, Auckland on the 18th day of February at 10 o’clock in the morning when the following resolutions will be proposed as special resolutions.
- That the memorandum of association of the company be altered:
(a) By omitting the provisions of the existing clause 1 thereof and adopting the following provision:
“1. The name of the company is Tudor Investments Ltd.”
(b) By omitting the provisions of the existing clauses 3, 4 and 5.
(c) The existing clause 6 shall become clause 3.
(d) By omitting the provisions of clause 7 thereof and adopting the following provision which shall become clause 4:
-
The capital of the company is forty thousand dollars ($40,000) divided into forty thousand (40 000) ordinary shares of one dollar ($1) each”.

That the existing provisions in the memorandum of association with respect to the powers of the company having hereby been omitted, the company shall have the powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955.

By all members that in accordance with section 145 (2) of the Companies Act 1955 and the articles of association of the company the above resolutions may be proposed and passed as special resolutions notwithstanding that 21 days clear notice of this meeting has not been given.
