Notice is hereby given that by a duly signed entry in the minute book of the above company dated the 16th day of December 1985 the following special resolution was passed:

"That the company be wound up voluntarily pursuant to section 268 (1) (b) of the Companies Act 1955, a declaration of solvency having been filed, and that Brian Manson Spooner of Auckland, chartered accountant, be and is hereby appointed liquidator for the purposes of such winding up."

Notice of Special Resolution to be Considered at Extraordinary General Meeting

Notice is hereby given pursuant to section 18 of the Companies Act 1955, that the extraordinary general meeting of the members of City Realties Ltd. ("the company") will be held on Wednesday, the 15th day of January 1986, at 11 a.m. in the Boardroom, Level 13, ICL House, 126 The Terrace, Wellington for the purposes among other of considering, and if thought fit, of passing the following special resolutions:

"That the provisions of the memorandum of association of the company be amended by deleting clauses 2 and 3 in their entirety and by deleting the whole of the second sentence of clauses and that the company shall have all the rights, powers and privileges of a natural person (including the powers referred to in section 15A (1) (a) to (h) of the Companies Act 1955) except insofar as those rights, powers and privileges may be restricted or prohibited."
