  1. Partnership business:

  3. Term of the partnership:
    The term of the partnership shall commence on the date of registration of this certificate in accordance with Section 54 of the Act and shall end upon the sooner to occur of:

(a) The registration of a certificate of dissolution pursuant to section 62 of the Act; or
(b) The expiration of 7 years from the date of registration of the partnership as a special partnership or, if the term of the partnership shall have been extended in accordance with sections 57 and 58 of the Act, then the expiration of the extended term.

In the matter of Part II of the Partnership Act 1908, and in the matter of the formation of a special partnership pursuant to Part II of the Partnership Act 1908 to be known as SANDAWARRA ANGORA STUD LIMITED AND COMPANY PARTNERSHIP:

Notice of Certificate of Special Partnership

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the special partnership is SANDAWARRA ANGORA STUD LIMITED AND COMPANY.

  2. The names, addresses and occupations of the general and special partners are as set forth in the Schedule hereto.

  3. The business of the partnership will be as follows:

(a) To carry on the business in New Zealand and elsewhere as importers, breeders, farmers and agents of angora goats or any other livestock;

(b) To purchase, lease, take on hire or by any other means acquire any real or personal property and any rights, licences, privileges or easements which the partnership may think necessary or convenient for the purposes of its business;

(c) To manage, maintain, develop, exchange, mortgage, lease, sell or otherwise deal with or dispose of all or any part of the property and right of the partnership;

(d) To undertake and carry out any other business which may in the opinion of the general partner and the special partners be conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature.

  1. The authorised partnership capital is 24 units of $7,500 each giving a total authorised capital of $180,000. The amount of capital which each special partner contributes shall be $7,500 for each unit allotted to each special partner. The general partner will not be allotted any units in the authorised partnership capital and will make a contribution of $24 to the common stock. The total capital of the partnership shall be $180,024.

  2. The principal place at which the business of the partnership will be conducted is the registered office for the time being of SANDAWARRA ANGORA STUD LIMITED.

  3. The partnership shall commence upon the date of registration of this certificate pursuant to section 54 of the Partnership Act 1908 and terminate upon the sooner to occur of:

(a) The registration of a certificate of dissolution pursuant to section 62 of the Partnership Act 1908; or

(b) The expiration of a period of 7 years from the date of the filing of the certificate of registration of the partnership in the High Court at Wellington; or

(c) If the term of the partnership shall have been extended in accordance with sections 57 and 58 of the Partnership Act 1908, the expiration of the extended term.

This certificate was executed on the 7th day of October 1985 by the following parties in the presence of the undermentioned justice of the peace.

Pursuant to a unanimous resolution of the partners passed on the 29th day of November 1985 the special partnership under the name and style of LITTLE VILLAGE LIMITED AND COMPANY is dissolved from and including the 6th day of December 1985.

Acknowledged by the partners at Auckland this 29th day of November 1985.
