In the matter of Part II of the Partnership Act 1908, and IN THE MATTER OF SAVAGE TRADING CO. LIMITED AND COMPANY:

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that

  1. The name of the special partnership is SAVAGE TRADING CO. LIMITED AND COMPANY.

  2. The names, addresses, occupations and capital contributions of the general and special partners are set forth in the Schedule hereto.

  3. The business of the partnership will be as follows:

(a) To carry on at any place or places, either in New Zealand or elsewhere, all or any of the business of:

(i) The trade or business of lessors, lessees, bailors, bailees, designers, manufacturers, sellers, purchasers, hirers of and dealers in aeroplanes, seaplanes, helicopters, airships and all manner of craft of conveyance and transit by air and any parts of and equipment for the same and engines, machinery and plant for the manufacture, construction, maintenance, repair or alteration of the same and any such part or equipment and to purchase or otherwise obtain exclusive or other interests in aerodromes, hangers, landing grounds, racing and testing grounds in waters, factories, warehouses, wharves, ships and offices for or in relation to such business aforesaid or to any business in which the partnership may lawfully engage.

(ii) The trade or business of aircraft operators and contractors, aerial carriers of passengers, goods and mail by air and all other businesses involving air services and the operation of aircraft.

(iii) The trade or business of travel agents, consultants and booking agents in respect of travel by road, air, sea and rail and the taking of bookings in respect of hotels, tours including the obtaining of all necessary agencies and concessions, licences and approvals necessary to operate such trade and business.

(iv) The trade or business of aerial topdressers, poisoners, sprayers, fencers and other agricultural services.

(v) The trade or business of aerial rescuers, suppliers and all kinds of relief work.

(vi) The trade or business of carriers of passengers, goods and mail by railway, motor and other road vehicles of all kinds, ships and barges.

(vii) To carry on the business of general warehousemen and merchants, indentors, importers and exporters of materials and merchandise.

(viii) To buy, sell, import, export, manufacture, prepare for market, alter, exchange, consign, accept on consignment, let on hire, bail and deal and trade in any metals, materials, goods, articles, chattels, merchandise and merchantable commodities of all kinds both wholesale and retail and in any apparatus, machinery, merchandise, tools, requisites, parts, accessories, commodities and articles of all kinds which shall or may be capable of being used or required for the purpose of any business herein mentioned or likely to be required for the purpose of any business herein mentioned or likely to be required by the customers thereof and that whether wholesale or retail.

(b) To purchase, lease, take on hire or by any other means acquire any real or personal property and any rights, licences, privileges or easements which the partnership may think necessary or convenient for the purposes of its business.

(c) To manage, maintain, develop, exchange, mortgage, lease, sell or otherwise deal with or dispose of all or any part of the property and rights of the partnership.

(d) To carry out any business which may in the opinion of the general partner and the special partners be conveniently of profitably undertaken by the partnership whether or not such business shall be similar in nature.

  1. The principal place at which the business of the partnership will be conducted is at the offices of Coopers & Lybrand, Chartered Accountants (National Bank Building), 170–186 Featherston Street, Wellington.

  2. The partnership shall commence upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of 7 years from the date of registration of the certificate.

NOTICE—A petition having been filed in the High Court of New Zealand at Auckland in the matter of the said company and the Companies Act 1955 for the winding up of the said company by the High Court was, on the 29th day of August 1985, presented to the said High Court by WILJEF GRAPHICS LIMITED of Christchurch, manufacturers; and that the said petition is directed to be heard before the Court sitting at Auckland on the 9th day of October 1985 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
