IN THE MATTER OF the Companies Act 1955, and IN THE MATTER OF OPEN SESAME LIMITED, a duly incorporated company having its registered office at 9 Montressor Place, Howick and carrying on business there as joiner:

NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 12th day of July 1985, presented to the said Court by JOZEF THEODORUS MARIA VAN DYK of Auckland, farmer; and the said petition is directed to be heard before the Court sitting at Auckland on the 21st day of August 1985 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

IN THE MATTER OF the Companies Act 1955, and IN THE MATTER OF YATES CORPORATION LIMITED, a duly incorporated company having its registered office at Auckland:

NOTICE is hereby given that the order of the High Court of New Zealand dated the 16th day of July 1985, confirming the reduction of capital of the above-named company from the sum of $100,000,000.00 to the sum of $90,994,148.25 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 12th day of August 1985. The said minute is in the words and figures following:

“The capital of YATES CORPORATION LIMITED was by virtue of a special resolution of the company and with the sanction of an order of the High Court dated the 16th day of July 1985, reduced from $100,000,000.00 comprising 36 023 407 issued fully paid ordinary shares of 50 cents each, 180 679 issued fully paid 1978 specified preference shares of $1.00 each, 790 000 issued fully paid 1981 specified preference shares of $1.00 each and 162 035 235 unissued shares of 50 cents each to $90,994,148.25 by repaying to the holders of the 36 023 407 issued ordinary shares the sum of 25 cents per share thereby reducing the nominal amount of each such share to 25 cents. By virtue of an ordinary resolution of the company passed on the 22nd day of March 1985, each of the 162 035 235 unissued shares of 50 cents each was subdivided into two unissued shares of 25 cents each.”

On the registration of this minute, the capital of the company is $90,994,148.25 comprising 36 023 407 issued fully paid ordinary shares of 25 cents. 180 679 issued fully paid 1978 specified preference shares of $1.00 each, 790 000 issued fully paid 1981 specified preference shares of $1.00 each and 324 070 470 unissued shares of 25 cents each.”
