IN THE MATTER of Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership known as PRODUCER EXPORT LIMITED & COMPANY:

WE, the persons named and described in the Schedule hereto and PRODUCER EXPORT LIMITED, a duly incorporated company having its registered office at Auckland, do hereby certify that by registration of this certificate we do hereby, in accordance with the provisions of section 58 of the Partnership Act 1908, renew and continue beyond the term of 4 years originally agreed upon for the duration of the special partnership, the term of the special partnership formed and constituted under the provisions of Part II of the Partnership Act 1908 by registration of a certificate under section 51 of the Act in the High Court of New Zealand at Auckland on the 18th day of February 1981; and do hereby certify pursuant to the provisions of sections 51 and 58 of the said Act as follows:

(a) The style of the firm under which the partnership is to continue to be conducted is PRODUCER EXPORT LIMITED & COMPANY.

(b) The names and places of residence of all the partners are as follows:

General Partner:

PRODUCER EXPORT LIMITED, a duly incorporated company having its registered office at Parnell House, 470 Parnell Road, Auckland.

Special Partners:

The persons whose names and addresses are set forth in the Schedule hereto.

(c) The aforesaid special partners have contributed to the common stock of the partnership the sum listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership.

(d) The general nature of the business to be transacted by the partnership is that of an export merchant and to:

(i) To promote, form, establish and manage a special partnership to be formed under Part II of the Partnership Act 1908, under the name or style of PRODUCER EXPORT LIMITED & COMPANY, to carry on business as an export merchant or house and all branches of such business.

(ii) To commence, acquire by purchase or otherwise and to carry on all or any of the businesses or exporters, importers, manufacturers, vendors, purchasers, lessors, retailers, warehouses, agents for all or any goods, produce, articles, materials or products, of all or any description, and such other business as may from time to time seem to be to the partners as convenient or conducive to the attainment of the objects of the partnership.

(e) The principal place at which the business is to be transacted is at the offices of the general partner, PRODUCER EXPORT LIMITED, Parnell House, 470 Parnell Road, Auckland.

(f) The partnership is to commence on the date of registration of this certificate and is to terminate 7 years thereafter.
