  1. The special partners shall be:

(a) Hans Rudolf Burkhalter of 21 Brilliant Street, St Heliers Bay.
(b) Terry Burkhalter of 21 Brilliant Street, St Heliers Bay.
(c) John Graham Thomas Tedcastle of 229 Hurstmere Road, Takapuna.

  1. The general partner shall be LOTUS PARK STUD LIMITED, a duly incorporated company having its registered office at 48 Customs Street East, Auckland.

  2. The capital contributed to the common stock of the partnership by each of the special partners as referred to in paragraph 2 hereof is $1,000, payment of which is hereby acknowledged.

  3. The general nature of the business to be transacted by the partnership is the business of breeders of thoroughbred stock.

  4. The principal place at which the business will be transacted is 48 Customs Street East, Auckland.

  5. The partnership shall commence upon the registration at the High Court at Auckland hereof and shall terminate 7 years thereafter.
