It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

The name of the partnership is MULL YACHTS NEW ZEALAND LIMITED AND COMPANY.

The names, addresses, occupations, and capital contributions of the general partner and the special partners are set out in the Schedule hereto.

Partnership business:
Carry on the business of manufacturing fabricating trading in and exporting yachts boats and yachting and boating equipment of any type and description together with such other business (but not banking or insurance) as the general partner from time to time determines.
- Principal place of business:
The principal place from which the business of the partnership shall be conducted is the registered office of the general partner situated at the offices of Messrs Colson Morrie and Partners, Chartered Accountants, 22 Anzac Avenue, Auckland.
- Duration of the partnership:
(i) The partnership shall subject to the provisions of section 54 of the Act, commence on the 1st day of August 1983, and will determine on the 1st day of August 1990, provided that the partnership may then be renewed pursuant to the provisions of section 57 of the Act by the unanimous agreement of all the parties hereto for a further period of 7 years or such shorter time as the parties shall agree to.
(ii) The partnership may be dissolved by a resolution of a majority in value of the special partners and the general partners and the special partners shall following the passing of any such resolution, sign, and register at the appropriate time a notice of dissolution as required by pursuant to section 62 of the Act.
