The only general partner is the company whose name and description is set out in the Second Schedule hereto.

The special partners contribute to the capital of the partnership the sums respectively set beside their names in the First Schedule hereto and the general partner does not contribute to the partnership capital.

The general nature of the business to be transacted by the partnership is that of importers exporters and dealers in products and commodities of every kind and description.

The principal place in which the business of the partnership is to be transacted is situated at Third Floor, Australis House, 36 Customs Street, Auckland.

The partnership is to commence upon registration of the certificate in accordance with section 54 of the Partnership Act 1908 and is to terminate on the sooner to occur of;
(i) the registration at the High Court at Auckland of a certificate of dissolution in terms of section 62 of the Partnership Act 1908; or
(ii) the expiration of the period of 7 years from the date of registration of the said certificate provided however if the duration of the partnership shall be extended for a further term or terms by the written agreement of the general partner and all of the special partners then the expiration of such further term or terms.
