he and the same is hereby confirmed upon the following conditions that is to say—

  1. That prior to making any distribution from the share premium account, the directors shall out of the profits of the company that would otherwise be available for dividend, transfer to a fund to be designated the capital replacement fund an amount equivalent to the amount to be distributed and that the moneys comprising such fund shall not be available for payment of dividends, nor without the approval of this honourable Court for distribution to members of the company, but may, if so authorised by the articles of association of the company and at law, be applied by the company in paying up unissued shares of the company, to be issued as fully paid bonus shares.

  2. That so long as any part of the existing share premium account of the company amounting to $20,560 is undistributed, the accounts of the company shall be noted so as to show—

(a) The existence of the resolution of the 26th day of October 1983 and;

(b) What part of the account remains undistributed but still subject to the resolution.

  1. That a sealed copy of the order be registered with the Registrar of Companies.

  2. That notice of registration of the order with the Registrar of Companies be published once in the New Zealand Gazette.

And this court hereby further orders and directs, that no minute as referred to in section 78 of the Act is required and accordingly no minute need be produced to the Registrar or registered, but that notice of registration of the order of the Court confirming the reduction of the share premium account of the company be published in the New Zealand Gazette not later than 23rd day of March 1984.

PURSUANT to regulation 15 of the Wool Industry Regulations 1978, notice is hereby given that the Adjusted Weighted Average Sale Price for the sale held on the 8th day of March 1984 at Auckland was 303.04 cents per kilogram (greasy basis).

As this price is below the Government’s supplementary minimum wool price of 320 cents per kilogram (greasy basis) the specified percentage for supplementation will be 5.60 percent for all wool sold at auction and nationally for privately sold wool from and including the 8th day of March 1984, until midnight on the day before the next auction sale to be held.

PURSUANT to regulation 15 of the Wool Industry Regulations 1978, notice is hereby given that the Adjusted Weighted Average Sale Price for the sale held on the 9th day of March 1984 at Invercargill was 295.36 cents per kilogram (greasy basis).

As this price is below the Government’s supplementary minimum wool price of 320 cents per kilogram (greasy basis) the specified percentage for supplementation will be 8.30 percent for all wool sold at auction and nationally for privately sold wool from and including the 9th day of March 1984, until midnight on the day before the next auction sale to be held.
