Further Business:
To consider and if thought fit to pass the following resolution as
an extraordinary resolution, namely:
That the books, accounts and documents of the company and
of the liquidator be disposed of to the care of the liquidator.
Every member entitled to attend and vote at the meeting is entitled
to appoint a proxy to attend and vote instead of him. A proxy need
not also be a member.
Proxies to be used at the meeting must be lodged at the offices
of Peat, Marwick, Mitchell & Co., Tenth Floor, National Mutual
Centre, 41 Shortland Street, Auckland, not later than 4 o'clock in
the afternoon on 6th day of December 1984.

NOTICE is hereby given of an extraordinary general meeting of British
Imperial Paints Ltd. to be held on the 7th day of December 1984
at 2 p.m. at the head office of Healing Industries Ltd. 686 Rosebank
Road, Avondale.
Business:
The purpose of the meeting is to consider and if thought fit to
pass the following as a special resolution which provides for the
alteration of the provisions of the memorandum of association of
the company with respect to the objects and powers of the company.

That the memorandum of association of the company be altered
pursuant to section 18 (1) (a) of the Companies Act 1955 by omitting
all of the objects and powers of the company expressed therein. -
That the company shall henceforth have the rights, powers and
privileges of a natural person including the powers referred to in
subsection (1) of section 15A of the Companies Act 1955.
