IN THE MATTER of the Companies Act 1955, and IN THE MATTER OF HONEYFIELD ENTERPRISES LIMITED, a duly incorporated company having its registered office at 58 Egmont Street, New Plymouth and carrying on business there as restaurateurs:

NOTICE is hereby given that a petition for winding up of the above-named company by the High Court was, on the 12th day of October 1984, presented to the said Court by MARAC FINANCE LIMITED, a duly incorporated company having its registered office at Marac House, Albert Street, Auckland; and the said petition is directed to be heard before the Court sitting at New Plymouth on the 2nd day of November 1984 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

IN THE MATTER of Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership known as EVANS & MONK MANAGEMENT COMPANY LIMITED:

TAKE notice that by way of special resolution lodged in the companies office at Auckland on the 2nd day of October 1984, EVANS & MONK MANAGEMENT COMPANY LIMITED, the general partner of EVANS & MONK MANAGEMENT COMPANY LIMITED AND COMPANY changed its name from EVANS & MONK MANAGEMENT COMPANY LIMITED to EVANS & MONK MANAGEMENT LIMITED and thus from the date of registration of this certificate the style of the firm under which the partnership is to be conducted is now EVANS & MONK MANAGEMENT LIMITED AND COMPANY.

Apart from the above changes all other details in the certificate, lodged in the High Court on the 20th day of July 1984, pursuant to Part II of the Partnership Act 1908 remain the same.

WE the persons named and described in the Schedule hereto and BEACHVIEW PARK LIMITED, a duly incorporated company having its registered office at Tauranga, do hereby certify that by registration of this certificate, we do hereby form and constitute a special partnership under the provisions of Part II of the Partnership Act 1908 and do further certify pursuant to section 51 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted is BEACHVIEW PARK LIMITED AND COMPANY.

(b) The names and places of residence of all the partners are set forth in the Schedule hereto.

(c) The special partners have contributed to the common stock of the partnership the sums listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership.

(d) The general nature of the business to be transacted by the special partnership is that of deer farming.

(e) The principal place at which the business is to be transacted is at Tauranga.

(f) The special partnership is to commence on the date of registration of this certificate and is to terminate upon the expiration of 7 years from the date of commencement.
