NOTICE is hereby given that by an entry in its minute book signed as provided by section 362(1) of the Companies Act 1955, the above-named company on the 24th day of September 1984, passed the following extraordinary resolution:

(1) That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up.
(2) That the company be wound up voluntarily.
(3) That pursuant to section 362(9) of the Companies Act 1955, the company appoint the official assignee at Christchurch to be the provisional liquidator of the company.

NOTICE is hereby given that an extraordinary general meeting of shareholders of Allied Developments Ltd. will be held at Level 13, Fletcher Challenge House, 87-91 The Terrace, Wellington on Friday, the 12th day of October 1984 at 9.30 a.m. to consider (inter alia) and if thought fit to pass the following resolution which will be proposed as a special resolution:

“That pursuant to section 18(1)(a) and 18(1)(c) of the Companies Act 1955, the memorandum of association of the company be and is hereby altered by omitting all of the objects and all provisions with respect to the powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1)(a) to (h) of section 15A of the Companies Act 1955).”
