TAKE note that I, Alwyn John Burr of new Plymouth, being the liquidator of HI-WAY VEHICLES LTD. (in liquidation) have to advise:

(1) That a General Meeting of the company pursuant to section 291 of the Companies Act 1955 will be held on Thursday, 16 August 1984 at 10 a.m. in the Boardroom of Kendon, Cox & Co., 62 Powderham Street, New Plymouth for the purpose of:

(a) submitting the final statement showing how the winding up of the company has been conducted and the property of the company disposed of;

(b) and making application to the Registrar that the company be dissolved.

NOTICE is hereby given that by order dated 12 July 1984 the High Court at Rotorua confirmed reduction of the share premium reserve of the company up to the sum of $2,630,000 subject to the accounts of the company being noted so as to show:

(a) That prior to any distribution from the share premium reserve the directors must transfer from the retained profits or other revenue reserves of the company to a capital account of the company designated “the share premium replacement account” an amount equal to the amount to be so distributed.

(b) What part of the sum of $2,630,000 remains undistributed but subject to the restriction referred to in paragraph (a) above.

The Order of the High Court was registered with the Registrar of Companies at Auckland on 20 July 1984.

NOTICE is hereby given that an order of the High Court of New Zealand dated the 27th day of June 1984 confirming the reduction in the share premium account of the above company by the sum of $8,692,915 in accordance with the provisions of special resolutions of the company passed on the 9 February 1984 and 5 June 1984 was registered with the Registrar of Companies at Auckland on the 20th day of July 1984.

IN THE MATTER of the Companies Act 1955, and IN THE MATTER of LUSTERIOD HOLDINGS (NEW ZEALAND) LIMITED, a company duly incorporated in New Zealand and having its registered office at Auckland:

NOTICE is hereby given that the order of the High Court of New Zealand dated the 18th day of July 1984, confirming the reduction of the share premium account of LUSTERIOD HOLDINGS (NEW ZEALAND) LIMITED by the sum of two hundred and sixty-eight thousand six hundred and fifty dollars ($286,650) being part of the moneys standing to the credit of the share premium account in the books of the company as at the 31st day of March 1984; and the minute approved by the High Court showing with respect to the capital of the said company and with respect to the share premium account as altered the several particulars required by the above mentioned Act and by the Court were registered with the Registrar of Companies at Auckland on the 23rd day of July 1984.

The said minute is in the words and figures following:

“That the share premium account of LUSTERIOD HOLDINGS (NEW ZEALAND) LIMITED as at the 31st day of March 1984 was in hundred and three dollars ($623,103) in the books of the company and has by special resolution of the company passed on the 31st day of March 1984 and duly confirmed by an order of the High Court been reduced by $286,650 to $336,453 the said amount of $286,650 being set free for distribution in cash to the holders from time to time of the shares in the capital of the company entitled to participate therein at such intervals and by a series of payments of such amounts as the directors of the company shall from time to time determine. Notwithstanding the aforesaid special resolution and reduction of the share premium account the authorised capital of LUSTERIOD HOLDINGS (NEW ZEALAND) LIMITED is $3,000,000 divided into 6 000 000 shares of 50 cents each, 2 981 130 being ordinary shares and 3 018 870 being of no classification, the classification thereof to be determined at the time of issue and the issue capital of the company is $1,490,565 divided into 2 981 130 ordinary shares of 50 cents each all of which are fully paid up.”

IN THE MATTER of the Companies Act 1955, and IN THE MATTER of ACTEC INDUSTRIES LIMITED, a duly incorporated company having its registered office at Auckland:

NOTICE is hereby given that the order of the High Court of New Zealand dated 12th day of July 1984 confirming the reduction in capital of the above-named company from the sum of $395,000 to the sum of $1,000 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 24th day of July 1984. The said minute is in the words and figures following:

“The capital of Actec Industries Limited was by virtue of a special resolution of the company and with the sanction of an order of the High Court dated the 12th day of July 1984, reduced from $395,000 divided into 395 000 fully paid shares of $1 each to $1,000 divided into 1000 fully paid shares of $1 each”.
