DECLARATION OF DISSOLUTION

Pursuant to Section 335A

I, David Ivan Rowlands, of Auckland, director of Rowlands Properties Ltd., hereby give notice that pursuant to section 335A of the Companies Act 1955, I propose to apply to the Registrar of Companies for a declaration of dissolution of the company and that, unless written objection is made to the Registrar within 30 days of the date this notice was posted, the Registrar may dissolve the company.

IN the matter of the Companies Act 1955, and in the matter of LUKE GROUP (N.Z.) LTD.:

NOTICE is hereby given that by duly signed entry in the minute book of the above-named company on the 29th day of June 1984, the following special resolution was passed by the company, namely:

  1. That by means of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

  2. That Warwick Sumpter of Auckland, chartered accountant, be and is hereby appointed liquidator.

The liquidator hereby fixes the 26th day of July 1984, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are passed or as the case may be, from objecting to the distribution.

NOTICE OF EXTRAORDINARY GENERAL MEETING TO PASS A SPECIAL RESOLUTION FOR ALTERATION OF MEMORANDUM OF ASSOCIATION

NOTICE is hereby given that an extraordinary general meeting of H-T Building Investment Company Ltd. (formerly carrying on business in Dunedin but now having its principal place of business in Wellington) will be held at the offices of Messrs Young Swan Morison McKay, Fletcher Challenge House, 87–91 The Terrace, Wellington on the 30th day of August 1984 at 3 p.m. in the afternoon for the purposes of considering the following resolution to be proposed as a special resolution.

That the memorandum of association of the company be altered by deleting the objects of the company specified in clause 3 thereof and adopting instead the following objects as clause 3:

“The company shall have the rights powers and privileges of a natural person including (but not by way of limitation) the powers listed in section 15A(1) paragraphs (a) to (h) inclusive of the Companies Act 1955”.

NOTICE is hereby given that an Order of the High Court of New Zealand dated the 29th day of June 1984, confirming the reduction of the share capital of the above-named company and with the sanction of the High Court of New Zealand reduced from $732,346 divided into 732 346 ordinary shares of $1 each (fully paid) to $300,000 divided into 300 000 ordinary shares of $1 each (fully paid) such reduction having been effected by cancelling 432 346 ordinary shares of $1 each and paying the sum of $432,346 to the shareholders.”

NOTICE is hereby given that an Order of the High Court of New Zealand dated the 29th day of June 1984, confirming the reduction of the share capital of the above-named Company and the Minute approved by the Court was registered with the Registrar of Companies on the 29th day of June 1984. The said minute is in the words and figures following:

“The share capital of TRIGON PLASTICS LIMITED was by virtue of a special resolution of the Company and with the sanction of the High Court of New Zealand reduced from $1,127,432 divided into 1,074,099 ordinary “A” shares of $1 each (fully paid) and 53 333 ordinary “B” shares of $1 each (fully paid) to $400,000 divided into 346 667 ordinary “A” shares of $1 each (fully paid) and 53 333 ordinary “B” shares of $1 each (fully paid) such reduction having been effected by cancelling 727 432 “A” shares of $1 each and paying the sum of $727,432 (being the amount of such reduction) to the shareholders.”

NOTICE is hereby given that a petition for winding up of the above-named company by the High Court was, on the 11th day of July 1984, presented to the said Court by MOUNT SOMERS STEEL LIMITED, a duly incorporated company having its registered office at Lower Hutt and the said petition is directed to be heard before the Court sitting at Auckland on the 22nd day of August 1984 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.
