“(a) That the company alter its memorandum of association by
omitting or deleting clauses 3 and 4 of the said

1. The appointment was made pursuant to powers contained and
   implied by law in a debenture dated the 8th day of February 1982
   and registered in the Companies Office at Auckland on the 15th
   day of February 1982, being a debenture given to it by Active Oil
   & Chemicals Ltd.

The property in respect of which the receivers and managers have
been appointed comprises all the undertaking of Active Oil &
Chemicals Ltd. and all its real and personal property and all its
assets and effects whatever, both present and future, including its
uncalled and unpaid capital.

Every member entitled to attend and vote at the meeting is entitled
to appoint a proxy to attend and vote instead of him. The proxy
need not also be a member.
