DISTRIBUTION OF SHARE PREMIUM ACCOUNT
NOTICE is given that on the 6th day of December 1983 the High Court at Auckland made the following order:
-
(a) That the sum of $1,956,598, being the moneys standing to the credit of the Share Premium Account in the books of account of the company after 1 October 1983, and authorised for distribution by a special resolution of the company passed on 26 August 1983, may be distributed in cash to the holders from time to time of the preference and ordinary shares in the capital of the company.
(b) That the distribution of the amount mentioned above may be effected at such intervals and by a series of payments of such amounts as the directors may from time to time determine to the holders from time to time of the preference and ordinary shares in the capital of the company divided rateably (but subject always to the provisions of Article 53 (b)) in proportion to the amounts paid up on the shares held by them.
(c) That prior to making each such distribution the directors shall transfer the revenue reserves of the company to a fund designated “Capital Replacement Fund” an amount equal to the amount to be distributed, such fund not to be available for the payment of dividend nor without the approval of the High Court for distribution to shareholders, but may be applied in paying up unissued shares of the company as fully paid bonus shares. -
