Notice by Examiner of Commercial Practices of Consents to Merger and Takeover Proposals

PURSUANT to section 69 of the Commerce Act 1975, notice is hereby given that the Examiner of Commercial Practices has consented to the following merger and takeover proposals.

Person by or on behalf of whom notice was given in terms of section 68 (1) of the Commerce Act 1975.

Progressive Enterprises Ltd.
E. Astley and Sons Ltd.
Dominion Breweries Ltd.

Proposal
Progressive Enterprises Ltd. may acquire all the shares in 3 Guys Ltd., North Island Wholesale Groceries Ltd., and Lynley Buildings Ltd.
E. Astley and Sons Ltd. may acquire up to 100 percent of the share capital in Colyer Watson Holdings Ltd. This consent is subject to the condition that Colyer Watson Holdings Ltd. will continue to supply hides to other tanneries by normal commercial arrangements.
Dominion Breweries Ltd. may acquire the furniture, plant, chattels, and stock-in-trade of DB Gladstone Grand Hotel, Fairlie.

Notice by Examiner of Commercial Practices of Consents to Merger and Takeover Proposals

PURSUANT to section 70 of the Commerce Act 1975, notice is hereby given that the Examiner of Commercial Practices has, subject to subsection (9) of that section, consented to the following merger and takeover proposal, being a merger and takeover proposal which also requires consent under the Overseas Investment Act 1973 and the Overseas Investment Regulations 1974*.

Person by or on behalf of whom notice was given in terms of section 68 (1) of the Commerce Act 1975.

Alex Harvey Industries Ltd.

Proposal
Alex Harvey Industries Ltd. may acquire from Carter Holt Holdings Ltd., half the interest held by Carter Holt Holdings Ltd. in Henderson and Pollard Ltd. Consent is given on the basis of assurances to the Examiner’s office that there will be no preferential trading terms operating between Henderson and Pollard Ltd. and either AHI or CH Holdings Ltd. or their subsidiaries which are not available to other traders.
