NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was on the 10th day of May 1983, presented to the said Court by THE COMMISSIONER OF INLAND REVENUE, and that the said petition is directed to be heard before the Court sitting at Auckland on Wednesday, the 22nd day of June 1983, at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

UPON reading the notice of motion for confirmation of the reduction of the share premium account of the applicant dated the 21st day of April 1983, and the affidavit of BERNARD JOHN LAYBURN, sworn and filed in support thereof and the exhibits therein respectively referred to, and upon reading the memorandum of counsel for the applicant The Honourable Mr Justice Chilwell hereby orders:
(i) That the action of the applicant resolved in the special resolution passed by the applicant on the 22nd day of December 1982, whereby the applicant is permitted to distribute up to the sum of $4,370,000 from the amount standing to the credit of the share premium account of the applicant be confirmed subject to the following terms and conditions:
(a) That the applicant may not vary or revoke such special resolution without the prior approval of the Court; and
(b) That so long as any part of the said sum of $4,370,000 remains undistributed the accounts of the applicant shall be noted to show:
(i) the existence of the said special resolution; and
(ii) what part of the said sum remains undistributed but still subject to the said special resolution as at the dates to which those accounts are made up.
(iii) That a sealed copy of this order be registered with the Registrar of Companies.
(iv) That notice of registration of this Order with the Registrar of Companies be published once in the New Zealand Gazette.
