LIMITED, a duly incorporated company carrying on business in Wellington and elsewhere in New Zealand as manufacturers and contractors and having its registered office at Hume House, 152 The Terrace, Wellington—Applicant:

NOTICE is hereby given that on the 30th day of March 1983 the following orders were made by the High Court of New Zealand at Wellington:

  1. That the special resolution passed at the extraordinary general meeting of the applicant company held on the 30th day of September 1982 be and the same is hereby confirmed.

  2. That notice of registration of this order be published once in the New Zealand Gazette within 1 month from the date of registration thereof.

The special resolution referred to in the foregoing orders provided as follows:

(i) Subject to the confirmation of the High Court of New Zealand and to any conditions imposed by the Court, the sum of three hundred thousand dollars ($300,000) at present standing to the credit of the share premium account and arising from the conversion of “A” preference shares to ordinary shares as at the 1st day of January 1982, be made available for distribution in cash to the holders from time to time of the shares in the capital of the company.

(ii) Subject to due compliance with the provisions of the Company’s Articles of Association, the distribution of the amount mentioned in subclause (i) of this resolution may be effected at such intervals and by a series of payments of such amounts as the directors may from time to time determine but so that any amount so distributed shall be in substitution for and not in addition to any dividend payable out of revenue profits which might otherwise be payable.
