IN the matter of the COMPANIES ACT 1955, and in the matter of TRU TEST PLASTICS LTD.:

NOTICE is hereby given that the order of the High Court of New Zealand dated the 7th of March 1983 confirming the distribution of $11,020.00 from the share premium account of the above-named company and the sealed order of the Court confirming such distribution containing the minute approved by the Court was registered by the Registrar of Companies on the 28th day of March 1983.

The said minute is in the words and figures following:

'By virtue of a special resolution by means of an entry in the minute book of the company signed as provided by subsection (1) of section 362 of the Companies Act 1955, and dated the 22nd November 1982, the share premium account may be distributed in cash to the holders from time to time of the shares in the capital of the company but notwithstanding that distribution the amount of the issued and fully paid up share capital of the company remains at one hundred and ninety six thousand eight hundred dollars ($196,800) consisting of 196 800 ordinary shares of $1 each.'

NOTICE OF REDUCTION OF CAPITAL

IN the matter of the Companies Act 1955, and in the matter of SILL ENTERPRISES LTD., a duly incorporated company having its registered office at Rotorua:

NOTICE is hereby given that the order of the High Court of New Zealand dated the 28th day of October 1982 confirming the reduction of the capital of the above-named company from $80,000 to $8,000 and the minute approved by the Court showing as to the capital of the company as altered the several particulars required by the above-mentioned Act was registered by the Registrar of Companies at Hamilton on the 11th day of February 1983. The said minute is in the words and figures following:

That the capital of the company be reduced from eighty thousand dollars ($80,000) divided into 80,000 shares of one dollar ($1) each to eight thousand dollars ($8,000) divided into 80,000 shares of ten cents (10c) each and that such reduction be effected by returning to the holders of 80,000 shares that have been issued paid up capital to the extent of ninety cents (90c) per share such capital being in excess of the wants of the company and by reducing the nominal amount of each of the said shares from one dollar ($1) to ten cents (10c).
