It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

1. Name of the partnership—HAYWOOD ORCHARD LIMITED AND COMPANY.

2. Names, addresses, occupations, and capital contributions of the General Partner and the Special Partners—As set out in the Schedule hereto.

3. Partnership business—To establish and carry on in New Zealand elsewhere the business of orchardists, horticulturalists, and market gardeners and to undertake and carry on any other activities or business ancillary or incidental thereto or which may otherwise be conveniently or profitably undertaken or carried on by the partnership.

4. Principal place of business—The principal place at which the partnership business will be conducted is Auckland.

5. Duration of the partnership—The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908 and shall terminate upon the sooner to occur of:
