Notice of the Intention of the Examiner of Commercial Practices
to Report to the Commerce Commission on a Merger or Takeover
Proposal.

WHEREAS, pursuant to section 68 of the Commerce Act 1975, I
have received notification of a merger or takeover proposal whereby
TNL Group Limited would acquire all the issued capital of The
Mount Cook Group Limited.

And whereas I formed the provisional view that the proposal is
likely to be contrary to the public interest;

And whereas in accordance with the provisions of section 69, I
have notified the participants of my intention to report on the matter
to the Commerce Commission;

Now therefore, remaining of the provisional view that the proposal
is contrary to the public interest, I give notice of my intention to
report to the Commerce Commission on the proposal after full
investigation in terms of section 74 of the Commerce Act 1975.
