NOTICE OF RESOLUTION FOR VOLUNTARY WINDING UP

IN the matter of the Companies Act 1955, and in the matter of STUART NORMAN LTD.:

NOTICE is hereby given that by duly signed entry in the minute book of the above-named company on the 28th day of June 1983, the following special resolution was passed by the company, namely—

1. That the company shall cease to trade due to severe financial difficulties.

2. That the company be wound up voluntarily by means of a creditors voluntary winding up within the meaning of the Companies Act 1955.

3. That Mr D. N. Dass of Messrs Price Waterhouse, accountants, be put forward to the statutory meeting of creditors as the liquidator of the company on the normal terms and conditions required by chartered accountants performing such liquidations in the Auckland area.
