NOTICE OF VOLUNTARY WINDING-UP RESOLUTION

Pursuant to section 269 of the Companies Act 1955, notice is
hereby given that by means of an entry in the minute book of Walsh
& O’Brien Ltd., in accordance with section 362 of the Companies
Act 1955, the following special resolution was passed on the 15th
day of July 1983.

“That the company having filed a declaration of solvency in
compliance with section 274 (2) of the Companies Act 1955,
be wound up voluntarily and that Mr P. W. Millar be
appointed liquidator.”

NOTICE TO CREDITORS TO PROVE

The liquidator of Walsh & O’Brien Ltd., which is being wound up
voluntarily, doth hereby fix the 15th day of August 1983, as the
day on or before which the creditors of the company are to prove
their debts or claims and to establish any title they may have to
priority under section 308 of the Act, or to be excluded from the
benefit of any distribution made before such debts are proved or,
as the case may be, from objecting to such distribution.

notice that on the 14th day of July 1983, it appointed Russell George
Hornsey, of Timaru, chartered accountant, and Stephen Ivan
Frederick Gawler, of Timaru, chartered accountant, whose offices
are at Solomon Stockwell & Co., Canon Street, Timaru, jointly and
severally as receivers and managers of the company under the powers
contained in an instrument being a debenture dated the 20th day
of May 1982, and issued by Northtown Tavern Ltd., in favour of
Fletcher Development & Construction Ltd.

The receivers have been appointed in respect of the whole of the
company’s property present and future including all its property
rights and assets whether present or future including its uncalled
and unpaid capital.
