  1. Principal place of business: The principal place from which the business of the partnership shall be conducted is the registered office of the general partner situated at 67 Albert Street, Auckland 1.

  2. Duration of the partnership: The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908 and shall terminate upon the sooner to occur of:

(i) The registration at the High Court at Auckland of a certificate of dissolution in terms of section 62 of the Partnership Act 1908; or

(ii) The expiration of the period of 7 years from the date of registration of this certificate provided however that if the duration of the partnership shall have been extended for a further term by the written agreement of the general partner and all of the special partners then upon the expiration of such further term.

Dated this 30th day of March 1982.

NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 19th day of April 1982, presented to the said Court by TRAVEL CONSULTANTS LIMITED, a duly incorporated company having its registered office at Auckland; and the said petition is directed to be heard before the Court sitting at Auckland on the 19th day of May 1982, at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

WE the persons named and described in the Schedule hereto, and FORUM TAVERN AND RESTAURANT LIMITED, a duly incorporated company having its registered office at Whangarei, do hereby certify that by registration of this certificate we do hereby form and constitute a special partnership under the provisions of Part II of the Partnership Act 1908, and do hereby further certify pursuant to the provisions of section 51 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted is: Forum Tavern and Restaurant and Company;

(b) The names and places of residence of all the partners are as follows:

General Partner: the above-named Forum Tavern and Restaurant Limited.

Special Partners: the persons named in the Schedule hereto.

(c) The aforesaid special partners have contributed to the common stock . . . of the partnership the sums listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership;

(d) The general nature of the business to be transacted by the partnership is that of a tavernkeeper; and

(i) To promote form establish and manage a special partnership to be formed under Part II, Partnership Act 1908, under the name or style of Forum Tavern and Restaurant and Company to carry on business as a tavernkeeper at the Forum Tavern, Whangarei.

(ii) To carry on the business of tavernkeepers and caterers at the Forum Tavern, Cafiers Avenue, Whangarei.

And such other business as may from time to time be seem to be to the partners as convenient or conducive to the attainment of the objects of the partnership.

(e) The principal place at which the business is to be transacted is at the Forum North Tavern and Restaurant, Forum North Building, Cafiers Avenue, Whangarei.

(f) The partnership is to commence on the date of registration of this certificate and is to terminate 7 years less one day thereafter.

Dated at Whangarei this 25th day of March 1982.
