NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 24th day of February 1982, presented to the said Court by THE DISTRICT COMMISSIONER OF INLAND REVENUE at Hamilton, and that the said petition is directed to be heard before the Court sitting at Hamilton on the 29th day of April 1982, at 10 o’clock in the forenoon, and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of the hearing in person or by his counsel for that purpose, and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

CERTIFICATE OF SPECIAL PARTNERSHIP

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the partnership is WAIHAU LEASING LIMITED & COMPANY.

  2. The name, address and occupation of the general partner is: Waihau Leasing Limited. The offices of Messrs Bell Gully and Co., 109–117 Featherston Street, Wellington. Leasing, financing, and investment holding company. The general partner is not required to make any capital contribution to the partnership.

  3. The name, address, and occupation of the special partner is as follows: Discount Nominees Limited. The offices of Messrs Jarden and Co., 20–34 Customhouse Quay, P.O. Box 3394, Wellington. Nominee Company. The capital contribution of the special partner to the partnership is one thousand dollars ($1,000).

  4. The business of the partnership will be as follows:

(a) To carry on the business of lessors of all kinds of property and equipment and without limiting the generality hereof including plant, fixtures, furniture, fittings, ships, machinery, equipment, accessories, parts, land, buildings and any other item of goods or property (real or personal) commodities or articles considered by the Partnership as suitable for leasing; and

(a) To carry on all other kinds of financing business including borrowing, raising, lending, advancing, or depositing money on any terms and conditions whatsoever (with or without security).

  1. The principle place from which the business of the partnership will be conducted is the registered office of the general partner.

  2. The partnership shall be deemed constituted as a special partnership upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of seven (7) years from the date of registration of this certificate.
