CERTIFICATE OF SPECIAL PARTNERSHIP

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

1. The name of the partnership is WAIHAU LEASING LIMITED & COMPANY.

2. The name, address and occupation of the general partner is: Waihau Leasing Limited. The offices of Messrs Bell Gully and Co., 109–117 Featherston Street, Wellington. Leasing, financing, and investment holding company. The general partner is not required to make any capital contribution to the partnership.

3. The name, address, and occupation of the special partner is as follows: Discount Nominees Limited. The offices of Messrs Jarden and Co., 20–34 Customhouse Quay, P.O. Box 3394, Wellington. Nominee Company. The capital contribution of the special partner to the partnership is one thousand dollars ($1,000).

4. The business of the partnership will be as follows:

The partnership shall be deemed constituted as a special partnership upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the partnership deed relating to earlier dissolution shall terminate upon the expiry of seven (7) years from the date of registration of this certificate.
