In the matter of Part II of the Partnership Act 1908, and in the matter of TUA TUA MOANA BLUEBERRIES LTD. AND CO.:

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

1. The name of the special partnership is Tua Tua Moana Blueberries Ltd. and Co.

2. The names, addresses, occupations and capital contributions of the general and special partners are as set forth in the Schedule hereto.

3. The business of the partnership will be as follows:

(a) To carry on the business of a Blueberry Orchard and such other horticultural, agricultural and forestry businesses as the company and the special partners may from time to time agree upon.

(b) To purchase, lease, take on hire or by any other means acquire any freehold or leasehold property and rights, privileges or easements over or in respect of any property.

(c) To harvest, crop, grade, store, package and otherwise prepare for market or sale all or any products of the partnership.

(d) To manage, develop, cultivate, maintain, lease, sell or otherwise deal with or dispose of any land or buildings acquired or held by the partnership.

4. The principal place at which the business of the partnership will be conducted is the office of J. W. Stanton, Chartered Accountant, Mainline Building, 58 Symonds Street, Auckland.

5. The partnership shall commence upon registration of the certificate pursuant to section 54 of the Partnership Act 1908, and subject to the provisions in the Partnership Deed relating to earlier dissolution and the provisions of the Act regarding renewal shall terminate 7 years after the date of registration.
