  1. That the sum of twelve thousand dollars ($12,000), standing to the credit of the share premium reserve of the company as at the 31st day of March 1982, may be distributed to the holders of the ordinary shares in the capital of the company.

  2. That the distribution of the said sum of twelve thousand dollars ($12,000) may be effected at such intervals and by such amounts as the directors of the company may from time to time determine of the ordinary shares in the capital of the company in proportion to the shares held by them, and that prior to making each distribution the directors shall transfer from the revenue reserves of the company to a fund to be designated the “capital replacement fund” an amount equal to the amount to be distributed, such fund not to be available for the payment of dividends not without the approval of this Honourable Court for distribution to shareholders.

  3. That the provisions of Sections 76 (2) of the Companies Act 1955 shall not apply.

  4. That the provisions of Section 77 (2) of the Companies Act 1955 shall not apply.

  5. That it shall not be necessary for any minutes relating to the distribution of the share premium reserve as above authorised to be produced to the Registrar of Companies pursuant to section 78 (1) of the Companies Act 1955.

  6. That notice of registration of the order herein be published once in the New Zealand Gazette within 30 days of registration.

NOTICE is hereby given that a petition for the winding up of the above-named company by the High Court was, on the 31st day of August 1982, presented to the said Court by GEORGE HENRY AND CO. LIMITED; and the said petition is directed to be heard before the Court sitting at Christchurch on the 13th of October 1982 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

NOTICE OF REGISTRATION OF ORDER

NOTICE is hereby given that the order of the High Court of New Zealand, dated the 27th day of July 1982, confirming the reduction of the share premium account of WILSON NEILL LIMITED referred to in the special resolution of the company passed on the 20th day of July 1982 upon the conditions that clauses (b) and (c) of the resolution may not be altered without the approval of the Court and that so long as any part of the existing share premium account is undistributed, the accounts of the company shall be noted to show:

(a) The existence of the resolution of the 20th day of July 1982; and

(b) What part of the said account remains undistributed but still subject to the resolution

was registered with the Registrar of Companies on the 13th day of August 1982.

Notice is hereby given that Western Building Society, whose registered office is at 179 St. Hill Street, Wanganui desires to transfer its engagements to Countrywide Building Society and that the first named society has applied to the Registrar of Building Societies to confirm the transfer, notwithstanding that the consent in writing of the holders of two-third of the whole number of shares in the said society has not been obtained in manner required by the Building Societies Act 1965.
