It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

The name of the partnership is “South Pacific Fruits Limited and Company”.

The names, addresses, occupations and capital contributions of the General Partner and the Special Partners are set out in the Schedule hereto.

Partnership Business: To acquire grow develop purchase process manufacture and prepare for market kiwifruit and all other kinds of fruit and vegetables and produce and any product made therefrom and to sell export distribute and otherwise deal in such products and generally to carry on in New Zealand and in any part of the world all or any of the business of importers exporters wholesalers retailers and merchants trading in all classes of goods wares and commodities of any description whatsoever.

Principal place of business: The principal place from which the business of the partnership shall be conducted is the registered office of the General Partner situated at the offices of Messrs Porter, Wigglesworth, and Grayburn, 6–10 Kitchener Street, Auckland 1.

Duration of the partnership: The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908 and shall terminate upon the sooner to occur of:
(i) The registration at the High Court at Auckland of a certificate of dissolution in terms of section 62 of the Partnership Act 1908; or
(ii) The expiration of the period of 7 years from the date of registration of this certificate.
Provided however that if the duration of the partnership shall have been extended for a further term of 7 years by the written agreement of the company and all of the participants then upon the expiration of the period of 14 years from the date of registration of this certificate.

IN THE MATTER of the Charitable Trusts Act 1957, and IN THE MATTER of an application by the WAIKATO DIOCESAN TRUST BOARD as trustee to vary the terms of the Houchen Trust:
TAKE notice that the WAIKATO DIOCESAN TRUST BOARD has applied to the High Court at Hamilton for an order approving a scheme dated the 28th day of July 1981 for the variation of a certain trust known as the Houchen Trust.
Pursuant to that trust the Waikato Diocesan Trust Board holds certain land situated in Houchens Road at Hamilton for the purpose inter alia in due course of erecting a new church or church buildings thereon.
The variation sought to the trust is a variation permitting the trustees to sell the land to apply the proceeds inter alia towards the extension, redecoration and renovation of the St Lukes Anglican Church in Melville at Hamilton.
The date proposed for the hearing of this application is Monday, the 21st day of September 1981.
Take further notice that any person desiring to oppose the scheme shall give written notice of his intention to do so to the Registrar of the High Court at Hamilton and to the Waikato Diocesan Trust Board and to the Attorney-General not less than 7 clear days before that date namely; Monday, the 21st day of September 1981.
