IN the matter of the Companies Act 1955, and in the matter of S. J. LEMON LTD. (in liquidation):

NOTICE is hereby given in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at Room 2, First Floor of the Bank of New Zealand Building (North Branch), 237-243 Tutanekai Street, Rotorua, on Friday, the 27th day of February 1981, at 11 o’clock in the forenoon, for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of and to receive an explanation thereof by the liquidator.

To consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:

That pursuant to section 328 of the Companies Act 1955, the books of the company shall be placed in the custody of the liquidator and held by him for 5 years and shall thereafter be disposed of by him.

NOTICE is hereby given that by a duly signed entry in the minute book of the above-named company, on the 20th day of January 1981, the following special resolution was passed by the company, namely:

That the company be wound up voluntarily and that Mr W. A. Tyrrell, chartered accountant, Nelson, be and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.

That the land and buildings owned by the company be transferred in specie to the parent company TNL Group Ltd.

NOTE—Gibsons Motors Ltd. is a wholly owned subsidiary of TNL Group Ltd. and its liquidation is part of an internal arrangement within the Group.
