NEW ZEALAND WOOL BOARD

Pursuant to regulation 15 of the Wool Industry Regulations 1978, notice is hereby given that the Adjusted Weighted Average Sale Price for the sale held on 3 April at Invercargill was 244.19 cents per kilogram (greasy basis).

As this price is above the Government’s supplementary minimum wool price of 235 cents per kilogram (greasy basis) no supplement is payable on wool until further notice.

There is likewise no grower retention levy payable in terms of section 42 of the Wool Industry Act 1977, as the A.W.A.S.P. is less than the ruling trigger price of 330 cents per kilogram (greasy basis).

THE NEW ZEALAND INSURANCE CO. LTD.

In the matter of the Companies Act 1955, and in the matter of a scheme of arrangement between The New Zealand Insurance Co. Ltd. (“the company”) and its members, and The South British Insurance Co. Ltd. and its members respectively:

Notice is hereby given that the order of the High Court of New Zealand dated the 20th day of March 1981—

(a) sanctioning the scheme of arrangement dated the 16th day of February 1981, between the company and its members and The South British Insurance Co. Ltd. and its members respectively, approved by resolutions passed on the 18th day of March 1981 by the holders of specified preference shares and of the ordinary shares of the company respectively at separate class meetings and at an extraordinary general meeting, and

(b) confirming the reduction of the share capital of the company approved by resolution on the 18th day of March 1981 by the company at the said extraordinary general meeting from $50,000,000 divided into 50,000,000 shares of $1 each (of which 21,370,210 shares are fully paid up, 4,443,288 have been issued as specified preference shares of $1 each and are fully paid up, and the balance of 24,186,502 shares of $1 each are unissued) to $28,629,790 divided into said 4,443,288 specified preference shares of $1 each and the said unissued 24,186,502 shares of $1 each, such reduction to be affected by cancelling the 21,370,210 issued and fully paid ordinary shares of $1 each and transferring the sum of $21,370,210 (being the amount of such reduction) to a capital reserve, and

(c) approving the minute showing with respect to the capital of the company as altered the several particulars required by the above-mentioned Act,

together with a copy of the said minute were registered by the Deputy Registrar of Companies at Auckland, on the 1st day of April 1981.

NOTE—By a resolution passed on 18 March 1981, the share capital of the company was increased to its former amount of $50,000,000 by the creation of 21,370,210 ordinary shares of $1 each.
